Crowd investors, lead investors in a campaign

Data rooms for equity crowdfunding

A crowdfunding campaign has two audiences: the public, who read the campaign page, and larger investors, who ask for a private data room before they commit.

Data room / Equity crowdfunding 01 Campaign 02 Disclosure 03 Financials 04 Company 05 Lead investor pack

Crowdfunding portals require a set of disclosure documents and run their own checks. Larger investors in the campaign, often a lead or a small fund, still want the documents behind it: financial statements, contracts and the cap table.

A data room lets you give those investors deeper access than the public page without publishing sensitive files, and keeps a record of what each one saw.

What matters most: The room separates public disclosure from the deeper pack a lead investor sees, with a record of who saw what.

Equity crowdfunding data room FAQ

Do crowdfunding campaigns need a data room?

The portal hosts public disclosure; a private room serves leads and larger investors who want more detail.

What do lead investors in a crowd round ask for?

Financial statements, the cap table, key contracts and the model behind the projections.

Can the data room show more than the campaign page?

It can hold more detail, but material information should be consistent with the public disclosure. Check with your counsel.
