Data rooms for a seed round
A seed lead runs a short but real diligence: early traction, the cap table, contracts with first customers and the founders' legal position.
Seed rounds now often carry a lead investor with a partner meeting and a lawyer. That means a request list: corporate records, every SAFE and note, early customer contracts, product metrics and a bottom-up model for the next 18 to 24 months.
The room also has to serve several smaller investors at once, each on a different timetable. Per-investor access, a log of who opened the model and a simple Q&A thread keep founders from answering the same question five times by email.
What matters most: A seed raise involves several investors in parallel; tracking per investor and a single Q&A thread save the most founder time.

Step by step
How to run the room
- Write the index before you uploadNumber the folders and agree the names with your lawyer, so later rounds reuse the same structure.
- Prepare a cap table with every instrumentShow each SAFE and note with its cap and discount, plus a pro forma after the seed.
- Open by tierDeck and metrics for interested funds; contracts and full financials once a lead is in partner diligence.
- Answer in the roomPost answers to investor questions in the Q&A thread so co-investors see the same reply.
Avoid
Common mistakes
- Showing metrics in the deck that do not match the monthly figures in the room.
- Forgetting old SAFEs or advisor grants on the cap table.
- Giving every syndicate member download rights on customer contracts.
Seed round data room FAQ
What does a seed investor look at in the data room?
The cap table and every convertible instrument, traction figures by month, the model and its assumptions, early customer contracts and whether all IP belongs to the company.
Which data room is best for a seed round?
See the ranking above, which weighs speed to launch and price more for this stage. A full room with Q&A suits a seed with a lead; a tracked deck link is enough before that.
How long does seed diligence take?
Often one to three weeks once a lead is engaged. A complete room on day one is the main thing that shortens it.
