Data rooms for a pre-seed round

At pre-seed, investors back people and a problem. The room is short, but it has to prove the company exists properly and the founders own what they build.

Data room / Pre-seed round 01 Pitch 02 Founders 03 Company 04 Cap table 05 IP and plan

A pre-seed check is usually written after one or two meetings, so the room is read quickly and often on a phone. Ten to fifteen files are enough: the deck, a one-page memo, founder bios, the incorporation documents, a simple cap table, IP assignments and an early financial plan.

What sinks pre-seed rounds is rarely the idea. It is a co-founder who never signed an IP assignment, a cap table kept in someone's head, or a SAFE nobody can find. A tidy room removes those doubts before an angel asks.

What matters most: Cost and speed lead here: a room you can open tonight, at a price that suits a company with no revenue, with per-investor tracking on the deck.

Step by step

How to run the room

  1. Keep it to one screenFive numbered folders, two or three files each. An angel should see the whole room without scrolling.
  2. Fix the paperwork firstSigned founder IP assignments and a written cap table matter more than design. Do them before the first meeting.
  3. Share the deck link, not the roomSend a tracked deck to first-meeting investors; open the full room after a second call.
  4. Watch who reads the planTime spent on the budget and the cap table is a better signal than deck opens.

Avoid

Common mistakes

  • Uploading a 40-tab financial model when a one-page budget is what angels read.
  • Leaving founder IP unassigned to the company.
  • Paying an enterprise room price for a raise of a few hundred thousand dollars.

Pre-seed round data room FAQ

Do you need a data room for a pre-seed round?

You need an organised set of documents; a data room is the easiest way to share it with tracking and view-only access. Many angels will not ask for one, but a founder who has one closes faster.

What should a pre-seed data room include?

The deck, founder bios, incorporation documents, a cap table, signed SAFEs, IP assignment agreements and a simple 12 to 18 month budget. Our pre-seed checklist lists each file.

How much should a pre-seed founder spend on a data room?

Little. Published plans start at about $45 per user a month for deck tracking (DocSend) and $149 a month for a full room (Ellty, with a 14-day free trial). Quote-only enterprise rooms are built for much larger deals.
