Data rooms for private equity

Private equity firms are the heaviest data room users there are: on the buy side for every bid, on the sell side at exit, and with LPs for each new fund.

Private equity: a deal team at work

A mid-market buyout can involve several bidders, thousands of files and a Q&A list in the hundreds. The data room has to keep bidders apart, route questions to the right expert and show the deal team which buyer is serious.

At exit, the same firm becomes the seller. Add-on acquisitions, refinancing and continuation funds each need a room too, so PE firms value a platform their deal teams can open without a vendor project manager every time.

What matters most: Competitive auctions need bidder groups that cannot see each other, staged disclosure and a Q&A module that handles hundreds of questions without a spreadsheet.

Step by step

How to run the room

  1. Prepare the room before the teaser goes outLoad the information memorandum folders and the vendor reports first, so the room is ready on the day NDAs come back.
  2. Create one group per bidderEach bidder sees only its own Q&A thread and its own advisers; the seller sees everything.
  3. Stage the sensitive filesCustomer names, pricing and staff details go into a later phase or a clean team folder, opened only for the final bidders.
  4. Archive at signingExport the full room, Q&A and activity log to an archive copy that the buyer and seller both keep.

Avoid

Common mistakes

  • Opening customer contracts to every first-round bidder.
  • Running Q&A in email, then losing track of which answer went to whom.
  • Paying per page on a room with tens of thousands of pages.

Private equity data room FAQ

Which data room do private equity firms use?

Large funds often use Datasite, Intralinks or iDeals for sell-side auctions; many deal teams now use modern platforms such as Ellty that combine the same controls (Q&A, watermarks, permissions, audit trail) with AI features and published pricing.

How is a PE buy-side data room different from a sell-side one?

On the sell side the seller builds the room and controls what bidders see. On the buy side the PE firm uses a room to collect diligence reports, share them with lenders and co-investors and keep the investment committee pack in one place.

What does a data room cost for a buyout?

Published plans start from about $149 a month; quote-only vendors usually charge a few thousand dollars a month for a standard auction, more for large multi-bidder processes. Our calculator shows both side by side.

Should portfolio companies keep a data room open after the deal?

Many PE owners keep an always-on room for each portfolio company with board packs, monthly accounts and key contracts. It shortens the next sale or refinancing because most documents are already filed.
