Data rooms for angel investors

Angels invest their own money with little time for diligence. A good room tells them in an hour whether the company is clean enough to back.

Data room / Angel investors 01 Deal summary 02 Ownership 03 Legal 04 Money 05 Group

An angel usually checks a handful of things: who owns the company, whether the founders are committed by vesting, whether the IP is assigned, what has been raised before on which terms, and how long the money will last.

Angel groups add a second use: one member leads diligence and shares a summary and the room with others. Per-member access and a log of who reviewed the files keep the group process fair.

What matters most: Angels need a fast, readable room; groups need per-member access and a shared Q&A.

Step by step

How to run the room

  1. Ask for the cap table firstOwnership and prior terms tell you more than the deck.
  2. Check vesting and IPUnvested founders and unassigned IP are the most common early red flags.
  3. Share one diligence memoIn a group, the lead angel posts a memo in the room for every member.
  4. Track commitmentsKeep the list of member commitments in the room until the SPV closes.

Avoid

Common mistakes

  • Investing on a deck without seeing the cap table.
  • Missing an earlier SAFE with a lower cap.
  • Pooling member money without SPV documents in one place.

Angel investors data room FAQ

What should angel investors ask for?

The cap table with all SAFEs and notes, founder vesting, IP assignments, incorporation documents, bank balance and burn, plus the terms of the current round.

Do angel groups use data rooms?

Yes, many share each deal in a room so members see the same files and the lead's diligence memo.

Who pays for the data room in an angel round?

Usually the startup. Angel groups sometimes run their own room for deal flow.
