VC fund, partner and associate team
Data rooms for venture capital firms
A VC fund uses a data room in two directions: to review startups before investing, and to share its own fund documents with limited partners.
On the deal side, a fund asks each startup for a data room and works through it in days, sometimes hours. On the fund side, the general partner shares a private placement memorandum, a limited partnership agreement, track record files and a due diligence questionnaire with prospective LPs.
Both jobs need the same basics: view-only access per investor, watermarks, a log of who read what, and a fast way to answer questions. LP rooms add a stricter security review, because institutional LPs often ask for SOC 2 or ISO 27001 evidence before they log in.
What matters most: Fund rooms are read by many LPs at once and stay open for months; per-investor permissions and a clean activity log matter more than raw storage.

Step by step
How to run the room
- Split deal rooms from fund roomsKeep startup diligence rooms and your own LP fundraising room separate, with different admins and different invite lists.
- Build the LP index onceNumber folders (1 Fund documents, 2 Track record, 3 Team...) so the same structure works for every LP and every later fund.
- Set access in tiersGive prospective LPs view-only access to the PPM and DDQ first; open track record detail after a first meeting or an NDA.
- Read the activity log weeklyTime spent on track record and terms shows which LPs are moving forward; use it to plan follow-ups.
Avoid
Common mistakes
- Sending the PPM as an email attachment that can be forwarded without a trace.
- Giving every LP download rights on deal-level returns.
- Leaving former prospects with live access after the close.
Venture capital data room FAQ
Do venture capital firms need a virtual data room?
Yes, for two jobs: reviewing startups before an investment and sharing fund documents with limited partners. Email and shared drives cannot show who opened a file, limit downloads per person or keep a record for compliance.
What do LPs expect to find in a fund data room?
The PPM, the LPA or a draft, the subscription documents, track record files with fund and deal-level returns, team biographies, the valuation policy, service providers and a completed due diligence questionnaire.
How much does a data room cost for a VC fund?
Ellty publishes $149 a month, CapLinked $299 and SecureDocs $250; quote-only vendors usually land in the low thousands per month for a fund-size room. Use our pricing calculator to compare for your team size.
Can a VC fund use the same room for every portfolio company?
It is better to open one room per company or per fund. Permissions, Q&A threads and activity logs then stay clean, and closing a room at exit does not affect other holdings.
