Underwriters, counsel, auditors, pre-IPO investors
Data rooms for an IPO
Before a listing, underwriters, their counsel and the auditors run diligence that is wider than most M&A deals, against a fixed timetable.
An IPO room supports the prospectus: every statement in the offering document needs a source file in the room. Underwriters' counsel run a structured request list, and the auditors need access to the same evidence for comfort letters.
The room also serves pre-IPO investors and, in some markets, the exchange or regulator. Many people work in it at once, so fast search, strict versioning and an audit trail that stands up later are the main requirements.
What matters most: Listing diligence is evidence work for a prospectus; versioning, search and a durable audit trail matter more than price.

Step by step
How to run the room
- Map the room to the request listUse the underwriters' counsel request list as the folder index so every item has a home.
- Give auditors their own groupAuditors need read access to financial and legal folders but not to drafts of the offering document.
- Lock versionsKeep superseded files in an archive folder rather than deleting them; the record matters later.
- Archive at listingExport the full room and Q&A log as the diligence record for the offering.
Avoid
Common mistakes
- Deleting old versions of board minutes or contracts.
- Opening drafts of the prospectus to every working group member.
- Leaving access open after listing day.
IPO readiness data room FAQ
Why does an IPO need a data room?
Underwriters and their counsel must verify the statements in the offering document. The data room holds the evidence, controls who sees it and records the review for later liability questions.
Who uses an IPO data room?
The company's finance and legal teams, underwriters and their counsel, the auditors, and sometimes pre-IPO investors and the exchange.
How long is an IPO data room open?
Usually six to twelve months, from the start of readiness work to the listing, and longer if the company keeps it as an investor relations archive.
