Hedge fund IR and COO teams, allocators

Data rooms for hedge funds

Hedge funds use data rooms to answer the operational due diligence that pension funds, endowments and funds of funds run before they allocate.

Hedge funds: a deal team at work

An allocator's operational due diligence team asks for the same pack from every manager: offering memorandum, audited financial statements, the AIMA or ILPA-style DDQ, compliance manual, valuation policy and service provider letters.

A room lets the investor relations team share that pack once, keep versions current and show the allocator a clean audit trail. Because allocators are regulated firms themselves, security certification and two-step login are not optional.

What matters most: Allocators run a formal security review; view-only access, watermarking and certified hosting decide whether the room passes.

Step by step

How to run the room

  1. Keep one master DDQUpdate it quarterly and upload the new version in place, so every allocator always sees the current answers.
  2. Separate prospects and existing investorsExisting LPs get monthly letters and statements; prospects see the offering pack and DDQ only.
  3. Use view-only for performance filesPerformance attribution and positions should never be downloadable by prospects.
  4. Log every access for complianceExport the activity log each quarter as a record of what was shared with whom.

Avoid

Common mistakes

  • Emailing audited statements as PDFs that are forwarded inside the allocator.
  • Leaving old DDQ versions next to the new one.
  • Choosing a room without 2-step login for regulated investors.

Hedge funds data room FAQ

What is operational due diligence for hedge funds?

A review by the allocator of how the fund is run, not how it invests: valuation, trade operations, compliance, service providers, cyber security and business continuity. Read our ODD guide.

Which documents do hedge fund allocators ask for?

Offering memorandum, subscription documents, audited financial statements, a completed DDQ, the compliance manual, valuation policy and confirmations from the administrator, auditor and prime broker.

Do hedge funds need ISO 27001 for their data room?

Not always, but many institutional allocators ask for SOC 2 or ISO 27001 evidence from the vendors that host their data. Check the room's certification before you onboard a pension fund or an endowment.
