Institutional and private LPs
Data rooms for limited partners
Before committing to a fund, an LP works through the manager's data room: the PPM, the LPA, the track record and a long due diligence questionnaire.
An LP data room is the manager's room, read by many LPs at once over a fundraise of six to eighteen months. LPs expect a standard structure, the ILPA due diligence questionnaire, deal-level track record and the fund documents, with drafts updated as negotiations move.
After closing, the same LPs receive quarterly reports, capital call and distribution notices and the annual audit through a portal or a room. Clean per-LP permissions matter because side letters and capital accounts differ by investor.
What matters most: Many LPs read the same fund room for months; per-LP permissions and versioned fund documents keep it fair and accurate.

Limited partners data room FAQ
What is an LP data room?
A secure room where a fund manager shares fund documents, track record and the DDQ with prospective limited partners, and later reports to them.
What do LPs check first?
Track record at deal level, team and key person terms, fees and carry in the LPA, and operational setup in the DDQ.
How is an LP room different from a startup room?
It is read by more investors for longer, holds regulated fund documents and must keep LP-specific data separate.
